Terms of Use

1. Overview

Dood Labs helps users discover, browse, list, offer, transfer, purchase, and mint digital collectibles on the XRP Ledger (XRPL), build artist profiles, submit collections for review, and participate in community and reward programs such as DOOD Powered. By using the Platform, you agree to these Terms and to our Privacy Policy, which describes how we handle information.

If you do not agree, do not connect a wallet, submit content, or otherwise use Dood Labs. Certain creator flows may require additional acknowledgments at signup.

2. Acceptance of Terms

You accept these Terms when you access the Platform, create or update a profile, connect a wallet, submit an artist or collection application, execute an on-chain action initiated through the interface, or continue using Dood Labs after we post revised Terms. Where a separate written agreement applies to a specific program, that agreement controls for that program to the extent of any conflict.

3. Eligibility

You must be at least the age of majority in your jurisdiction (and at least 13 years old, or higher where required) and able to form a binding contract. You may not use Dood Labs if you are barred from doing so under applicable law, sanctions programs, or Platform policies. You represent that information you provide is accurate and that you will comply with all applicable laws regarding digital assets, intellectual property, and consumer protection.

4. Wallets and Blockchain Transactions

• You control your own wallet. Dood Labs does not custody your assets or operate your wallet on your behalf. Connection through Xaman (XUMM) or another compatible provider is at your discretion.
• We never control private keys. Dood Labs will never ask for your seed phrase, secret key, or password that would grant us control of your wallet. Anyone requesting such information is not authorized by us.
• Transactions are irreversible. Confirmed XRPL ledger entries generally cannot be undone by Dood Labs. You are solely responsible for the consequences of transactions you sign.
• Review before signing. You must carefully read each wallet prompt—recipient, amount, fees, memos, and NFT identifiers—before approval. We are not liable for losses arising from your failure to verify prompts or from user error.

5. Marketplace and NFT Activity

The Platform may enable or display:

• Browsing, search, feeds, and collection discovery;
• Listings, offers, transfers, purchases, and minting flows where available;
• Profiles, issuer/taxon groupings, and metadata associated with XRPL NFTs.

Ownership, offers, sales, and settlement state are determined by on-chain records and applicable ledger rules, not by Dood Labs’ internal caches alone. We may display third-party or public XRPL data, indexes, and metadata resolvers; such data can be delayed, incomplete, or inaccurate. You should verify critical details on-chain or through independent tools before relying on display data for high-value decisions.

6. Artist Profiles and Collection Submissions

Artists and creators may submit profile information, issuer and taxon identifiers, artwork, media, social links, and descriptions for discovery or DOOD Powered review. During beta, approval or manual review may be required before certain badges, placements, or features activate.

We may refuse, suspend, or remove profiles, collections, listings, or related content that we reasonably believe is inaccurate, unsafe, infringing, misleading, impersonating another party, or harmful to users or the ecosystem. Removal of Platform display does not delete on-chain NFTs or issuer settings you control separately on XRPL.

7. DOOD Powered Status and Rewards

• Optional program. DOOD Powered and similar status labels are optional and may require application, review, and ongoing compliance.
• Changing benefits. Reward mechanics, discovery placement, fee shares, ecosystem splits, badges, and partner benefits may change, pause, or end during beta without prior notice except where required by law.
• No guaranteed outcomes. Dood Labs does not guarantee earnings, sales volume, secondary-market liquidity, token price, reward accrual, or continued eligibility. Past performance or displayed estimates are not promises of future results.

8. User Content

You are responsible for all content you submit, including images, metadata URIs, titles, descriptions, links, and messages to reviewers. You represent that you own or have all rights, licenses, and permissions needed to submit and publicly display that content through the Platform.

By submitting content, you grant Dood Labs a non-exclusive, worldwide, royalty-free license to host, reproduce, adapt for technical formatting, display, and distribute that content solely to operate, promote, and improve the Platform and related DOOD experiences, until you remove it or we remove it under these Terms. Moral rights waivers apply only to the extent permitted in your jurisdiction.

9. Prohibited Conduct

You agree not to:

• Engage in fraud, scams, phishing, or deceptive trading practices;
• Impersonate individuals, brands, issuers, or collections you do not represent;
• Infringe copyrights, trademarks, publicity rights, or other intellectual property;
• Distribute malware, exploit vulnerabilities, or attempt to bypass security or access controls;
• Spam, manipulate rankings, fake volume, or misrepresent rarity, utility, or affiliation;
• Harass, threaten, or abuse other users or Dood Labs personnel;
• Submit fake collections, counterfeit art, or misleading claims about ownership, licensing, or rewards.

We may investigate violations and cooperate with law enforcement where appropriate.

10. Fees, Royalties, and Payments

• Where possible, applicable platform fees, royalties, or reward splits may be shown before you confirm a transaction; final amounts depend on wallet prompts and on-chain execution.
• XRPL network fees and reserve requirements apply to ledger operations and are set by the network, not Dood Labs.
• Third-party wallet, index, or external marketplace fees may apply when you use linked services.
• We may update fee structures, royalty display rules, or reward allocation formulas with notice on the Platform when practicable.

11. Third-Party Services and Links

The Platform integrates with or links to services we do not operate, including:

• Xaman / XUMM (wallet connection and signing);
• XRPL nodes, public APIs, and metadata providers;
• Firebase, hosting, analytics, and backend infrastructure;
• DoodSmooth and other DOOD product experiences;
• External marketplaces, social networks, and community tools.

Your use of third-party services is governed by their terms and privacy policies. Dood Labs is not responsible for outages, policy changes, security incidents, or losses arising from third-party services, including erroneous index data or wallet software behavior.

12. No Financial Advice

Nothing on Dood Labs constitutes investment, financial, legal, or tax advice. NFTs, tokens, and digital collectibles involve substantial risk, including total loss of value, illiquidity, regulatory change, and smart-contract or ledger-level failures. You are solely responsible for evaluating risks and consulting qualified professionals before making financial decisions.

13. Beta / Availability

Dood Labs may be offered as a beta, preview, or limited-access release. Features may change, pause, fail, or be discontinued without liability. Data shown on the Platform may be cached, delayed, incomplete, or temporarily unavailable. We may impose usage limits, maintenance windows, or geographic restrictions at any time.

14. Intellectual Property

Dood Labs branding, user interface, software, documentation, and platform design elements are owned by Dood Labs, DOOD, or respective licensors and are protected by intellectual property laws. Except for the limited license to use the Platform as intended, no rights are granted to you in our proprietary materials.

User and artist content remains owned by its rights holders subject to the license in Section 8. Other trademarks and collection names appearing on the Platform belong to their owners.

15. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE DATA, SUCCESSFUL TRANSACTIONS, ACCURATE PRICING OR METADATA, OR ANY PARTICULAR ASSET VALUE OR REWARD OUTCOME.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOOD LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE PLATFORM, WALLET TRANSACTIONS, THIRD-PARTY SERVICES, OR ON-CHAIN ACTIVITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID TO DOOD LABS FOR PLATFORM SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, IF ANY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Dood Labs and its affiliates from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Platform, your violation of these Terms, your violation of third-party rights, or your on-chain transactions and wallet activity.

18. Termination / Removal

We may suspend or terminate your access to the Platform, remove content, or revoke DOOD Powered or similar status at any time for any reason, including violation of these Terms or risk to users or the service. You may stop using Dood Labs at any time by disconnecting your wallet and ceasing use. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing provisions) will survive.

19. Changes to Terms

We may modify these Terms as the Platform, legal requirements, or partner programs evolve. We will update the “Last revised” date and, where appropriate, provide additional notice on the site. Material changes become effective when posted unless stated otherwise. Continued use after the effective date constitutes acceptance of the revised Terms.
